I'd go with the CA.

Not to say ICS isn't good though.

ASGI just got in the latest version ICS MP5.  That would be my recommendation.

Internal and external upgrades should be the same in difficulty, beucause they are practically the same thing.

Is this the Split GB/stamped steel body one?  I cant seem to find it if it is. I thought ICS was already on version 4 of their Mp5 series!  Still a great gun anyways.

What is easier to upgrade?  Well, The ICS basically needs a spring change and it's done.  The CA, I would be more inclined to throw out parts (Motor especially) since a good majority are kinda... meh :)
